BACKGROUND
The Houston InventorsAssociation(HIA): Servingthe HoustonGulf Coastregion,HIA supportsthe
commercializationeffortsof 100-150 membersannually.Ithostsmonthlymeetingsinwhichthe
membersreceivehandsonproblemsolvingfeedbackonthe entire scope of “goto market”challenges.

The YoungInventors Showcase (YIS):The YIS programis an annual competition,runningfrom
Novemberthroughthe finalsinthe endof May.Local science teacherseducate theirstudentsonthe
inventionprocess,usingthe attachedstudyguide.The programtypicallysees2,000-2,500 invention
submittalsthathave preliminaryjudgingeventsatthe local school,withabout120 inventionsreaching
the finals.Typically,about5%of the inventionsare consistentlycommerciallyviable,makingnearlyall of

PROPOSAL SPECIFICS:
1. Numberof Inventions:BothHIA and YIS wouldworkwithQBDCto identifyupto10 inventions
fromeach program,for a total of up to 20 inventions,thatwouldbe attractive
commercializationprojectsapplicable tothe Gulf ArabStates.
2. Exclusive DistributionRights: QBICwouldbe grantedexclusivedistributorrightstothe Gulf
Arab Statesregion,atminimum,withoptionsthatwouldextendtootherregions,suchasAfrica,
Europe,Asia,etc.
3. Nature of Relationships:
2. a. QBIC wouldassignastudentfromwithinitsCenterthatwouldhave adirectrelationship
withthe Inventor.
b. NeitherHIA andYIAA wouldhave anyequityinterestinthe individual inventor’s
invention.AnagreeduponroyaltyinterestwouldvestwithHIA orYIAA,respectively,as
a residual interest.
c. QBIC wouldestablishit’sowncontractual relationshipswiththe QBDCstudentandthe
HIA/YIAA inventor.
4. Scope and Funding:QBIC wouldsetaside aone time fundof $5 million,tobe drawndownas
the individual inventionsare launched.Afterthe “upto”20 inventionsare fullylaunched,an
assessmentwill be made byall of the partiesas to the nextphase of the program.
INCUBATOR
All partiestothisagreementwill create ataskforce to establishthe mosteffective andefficientbusiness
model forthe “go to market”channelsof the aggregate inventions.
