Do investors appear on the cap table? 👥
No, Capita IRG Trustees Ltd. acts as a nominee, holding the shares of the investors to keep the
cap table clean.
Do you lead a round? 💪🏼
Yes, but not always. If it’s a very early-stage round (<£200k), we normally lead. If we co-invest
with a VC, they normally lead.
What is the dynamic between the investors and the syndicate lead? ✋🏼
The nominee investors are legally tied to any actions taken by the syndicate lead.
Do you take board seats? 💺
No, we believe it hampers early-stage growth, but we may take an observer role. However, if we
follow another VCinto a deal, they may elect to have board seats.
What terms do you have in your deals? 📋
We keep things simple and primarily have standard drag & tag, good leaver/bad leaver provisions,
founder vesting and pre-emption rights. We only do simple ordinary stock and have no preferred
shares.
