• Will split off the part of the organization that trains and tests assessors, creating the CMMC Assessors and
Instructors Certification Organization (CAICO).
• AB to retain responsibility of accrediting assessors that will do the cybersecurity audits.
• Split not mandated before October 31, 2022
• SOW replaces previous MOU, gives DoD increased oversight role

When the client recognizes a clear value for their money and your business makes a reasonable profit you realize that
you “can have it all.” So how does one achieve this objective? Data (and lots of it!), Defined Value, and Flexibility.
Since competition-driven pricing relies on making decisions based on the prices of your competitors, you must have a
system to collect, analyze, and share data. To know which price will achieve the most profitable market share requires a
solid understanding of this competitive range compared to the client’s acquisition trends, budget constraints and risk
threshold. Ultimately, making informed decisions to “have it all” comes down to the timing and use of relevant data.
Successful companies will begin and validate this data prior to entering the active proposal bid phase.

Avoid Price Wars and Undercut Pricing by Using Defined Value
Competitive pricing can drive pricing wars. Slashing prices to meet a competitor’s lowest price may risk profitability and create
unrealistic market conditions within the client/market segment. This can be avoided when using defined value.
Adding value without adding cost enables you to promote services and solutions to the Government at a more profitable rate
and differentiates your solution from your competitors. Evaluate existing tools, processes, systems, or resources to determine
where you can offer value. This is most powerful when you can point to past performance.
To document value you must have a comprehensive understanding of your solution and approach. This is achieved in
collaboration between non-cost and cost/price teams.

Each Opportunity is Unique – Be Flexible
Beware of Following the Herd. Competitive based pricing can lead to a lack of innovation and the unique solutions your client
seeks. Leverage key elements of your competitors' offerings but be willing to adapt, modernize, or change to meet evolving
market demands and profitability goals.
Conduct evaluations of your indirect costs early in the capture phase to determine if material changes, impacted rates, and/or
defining new cost pools makes sense. Engage with your financial and accounting experts to ensure you are operating at the
most efficient levels. What automation, tools, practices, processes, or systems can be implemented to drive price efficiency
over time?

 Multiply business’s average total monthly payroll in either (1) the one year period prior to the loan date or (2)
2019 or 2020 calendar year, by 2.5x.
 NAICS Code 72 (primarily restaurants and hotels) can use a 3.5x multiplier.
 Self-employed: 2.5x net profit in 2019 or 2020 on Form 1040 Schedule C up to $100k, divided by 12.
 Forgiveness
 Must submit certification within 10 months of end of use period.
 Must use 60% on payroll, funds must be used in an 8-24 week period.
 If received $150k or less, will not have to submit specific spending records, but must be prepared for audit.

Accounting for PPP Loans and Forgiveness
The accounting for PPP assistance depends upon the following:
• Is the assistance considered a loan
• A payment for a good or service
• An income tax credit
• Or a grant
Individual circumstances will need to be considered, however most will account for PPP assistance as either debt or government
grants

PPP Loans as Debt
- ASC 470, Debt - Debt treatment appropriate as PPP is a legal form of debt
- ASC 835, Interest – Interest accrued over the term of the loan at effective rate. Not required to impute
market rate interest
- Debt is derecognized when debt is extinguished under ASC 405-20, Liabilities (i.e. when paid off or legally released)
- PPP loan is forgiven when SBA pays the amount it determines is eligible for forgiveness
- Criteria for forgiveness, watch new developments
- Amount forgiven recognized in the income statement as a gain upon extinguishment
- ASC 230, Statement of Cash Flows – Cash inflow/outflow from financing, Interest is outflow from operating
and any gain recognized is noncash reconciling item to net income from operations.

What does PPP Loan Forgiveness mean for Government Contractors?
• OMB Guidance April 17, 2020 (updated April 24)
FAR 31.201-1,
“Composition of Total Cost, states that total cost is the sum of the direct and indirect costs allocable to the contract
less any allocable credits. To the extent that PPP credits are allocable to costs allowed under a contract, the
Government should receive a credit or a reduction in billing for any PPP loans or loan payments that are forgiven.
- The loan must be forgiven for a credit
