Currently, there is an abundance of information about CSR and its importance along the corporate landscape. Although it definitely is a critical matter for organizations today, we have entirely lost its true meaning in translation. Considering that corporate social responsibility is largely perceived to be a linear, big-picture business practice, our dossier has attempted to ground the topic by renewing the lens through which we understand what it truly means to be a socially and ethically responsible company today and tomorrow. This dossier on CSR provides different perspectives about the mutli-faceted expectations of the modern day enterprise. We encourage you to share your feedback and play a part in initiating an active dialogue about innovation, leadership and social advancement. Les informations concernant la RSE et son importance dans les entreprises sont aujourd’hui abondantes. Malgré le fait qu’il s'agisse d’une démarche cruciale pour les organisations, cet afflux d’information nous en a fait perdre le sens. The triple bottom line consists of financial profit (or success), social justice, and environmental protection. It is sometimes summarized as “Profits, People, and Planet.” An intimately related concept is “sustainability”---corporations that are built to last, societies that are stable and just, and a global natural environment that is in a healthy equilibrium. The basic argument is that we live in a time when a narrow, short-term focus on the financial bottom line alone will generate dysfunctions among people and in the environment that will come back to bite the corporation. Sustainability and the “3BL” are, instead, about mutual benefits flowing in all three directions. The challenge is to find the sustainability “sweet spot” (think golf) where all three interests coincide. Example: Toyota’s Prius low-fuel hybrid benefits the environment, the people who build or buy them, and the owners of the company. Certainly there will be trade-offs; 3BL choices and strategies will require negotiation and compromise. But this is now an economic reality, not just an altruistic dream It could be argued that what’s new here is just a strong case that financially successful companies must think more broadly and holistically and be sure to take into account all their stakeholder interests, including the environment and society. But it is still the financial bottom line driving the business. Business ethics is a huge canvas, bigger than sustainability, CSR, corporate governance, or the 3BL. Business ethics is about doing the right thing and building good organizations. Business ethics and values grow out of purposes, missions, and visions and are organically intertwined with corporate cultures. There are more than three bottom lines---there are bottom lines related to every stakeholder. Business ethics doesn’t just ask how to keep three of those stakeholders (owners, environment, society) going and make them last (sustain them) but about what is right and fair and just, about what would constitute excellence and success.

January 2024. Environmental, Social, and Governance (ESG) is a framework that helps investors evaluate how a company manages risk and opportunities around sustainability issues. ESG takes a comprehensive view that extends beyond the environmental aspect to include the social and corporate governance aspects. ESG metrics are non-financial indicators that evaluate companies' ESG performance. They are quantitative, such as GHG emissions; and qualitative, such as Diversity, Equity, and Inclusion (DEI). ESG reporting is the public disclosure of ESG data. Its purpose is to shed light on a company’s ESG activities and improve transparency with investors. ESG reporting offers many advantages to a business, including improved reputation, being more attractive to investors, competitive advantage, improved performance, resilient and sustainable business, capacity building, and climate change mitigation. However, ESG reporting faces challenges such as the lack of a universal standard, being complex requiring specialized expertise, risk of greenwashing, and constantly changing regulations. An ESG framework is a structured approach to ESG reporting. Using an ESG framework produces measurable, actionable, and credible results. ESG standards translate ESG framework principles into action by specifying factors such as metrics, methodologies, and reporting formats. The absence of a universal ESG reporting standard has resulted in reliance on various standards. The most commonly used ESG reporting standards include Task Force on Climate related Financial Disclosures (TCFD) and United Nations Global Compact (UNGC). ESG compliance refers to meeting or exceeding ESG guidelines established by the compliance frameworks and regulatory bodies. An ESG rating, also called an ESG score, provides a benchmark for investors to evaluate a company’s ESG performance and compare it to other companies. Policy wise, the Sustainable Stock Exchanges (SSE) initiative was launched in 2009 to improve corporate transparency and performance on ESG issues. The SSE is coordinated by United Nations Global Compact (UNGC), UN Conference on Trade and Development (UNCTAD), and UN Department of Economic and Social Affairs (UNDESA). Whenever an unfortunate situation arises, we typically blame an agent whom is causally responsible if one is available; however, if a blameworthy agent is unavailable, such as in the case of a natural disaster, labeling the event as a blameless situation seems appropriate. The idea of Corporate Social Responsibility (CSR) is that businesses have extra responsibilities to a benefit society beyond mere adherence to legality and maximization of profits for shareholders. We argue for a group realist stance where corporations are understood as group agents that may be causally responsible for their actions, and still have the kind of agency that warrants social responsibility, while at the same time be morally blameless for their actions. In other words, CSR can still be said of corporations, while assigning moral blameworthiness to group agents for corporate activity would be misplaced.

It is a common play in real estate to create a separate operating entity to serve as a tenant and execute a lease between the owner of the property and himself. Typically, this happens in assets which serve as a real estate-based business, such as a retail property. The structured enables the operator to reduce the taxable income of the business and also provide a liability shield for the property owner. However, this arrangement can easily lead to some ethical issues, should the property owner become distressed. Where is the line between a savvy real estate strategy and unethical behavior? This webinar presents practice pointers on how to use the ABA Model Rules as a guide to navigating ethical issues in Insider Lease Agreements. Model Rules addressed include those that govern the client-lawyer relationship (Rule 1.7: Conflict of Interest: Current Clients); those that speak to the need for candor toward the tribunal and fairness to an opposing party and counsel (Rule 3.3 through 3.4); and the necessity for truthfulness in statements to others and issues surrounding unrepresented persons (i.e. Rule 4.3).
