2. In the International Buying Agent Contract one party (Principal) appoints
another (Buying Agent) to represent and buy a specific kind of products within
a specific territory that can be a country or multiple countries.
The responsibilities of the Buying Agent may include, among others, the
following: identifying manufacturers and suppliers of products within the
described territory; negotiating prices, terms of delivery and payment;
managing the international transport of documents which comply with export
and import procedures; assisting and serving as a translator of the Principal´s
representatives when visiting the country to negotiate purchase contracts or to
check on the manufacturing of products.

3. The Principal is always a company but the Agent can be a company or a person
(independent professional). For each party, the following has to be included:
• Name of company, full address and nationality.
• Company type: public limited company, limited liability company, etc.
• Name and position of company representative who signs the agreement.
• Name, profession, full address and nationality of person who acts as Agent.
• Tax ID number of both parties.

5. “Throughout the term of the present Contract, the Principal shall not
appoint any third party, either individuals or companies, to represent
and purchase the Products within the Territory. Nevertheless, the
Principal shall be entitled to negotiate directly, without the Buying
Agent intermediating, with manufacturers and suppliers located in the
Territory on condition that the Principal informs the Buying Agent of
such agreements. In such cases, the Buying Agent shall be entitled to
a commission of .... % [insert percentage, usually half the percentage set forth
in Clause 10.1] on the direct purchases made by the Principal.”

6. 3.2 NEGOTIATION OF PURCHASES
Alternative A. “The Buying Agent may negotiate purchases, though it is
not authorized to close negotiations on the Principal´s behalf, or bring
about any legal obligation upon the Company in any other way.”
Alternative B. “The Buying Agent shall negotiate and close purchases on
behalf of the Principal. It is understood and agreed by the Parties that all
Products purchased by the Buying Agent on behalf of the Principal shall
be owned by the Principal.”

7. “The Principal reserves the sole and exclusive right to accept or reject
purchases proposed by the Buying Agent. The Buying Agent is not
authorized to, and shall not, enter bids which may bind the Principal;
nor shall the Buying Agent otherwise act as an authorize officer with
powers, unless it is specifically given written authorization to do so by
the Principal. All purchases proposed by the Buying Agent shall be
subject to acceptance or rejection by the Principal.”
3.3 ACCEPTANCE OF PURCHASES

8. 3.4 BUYING AGENT´S COMMISSION
“As compensation for the services to be rendered by the Buying Agent under this Contract,
the Principal shall pay the Buying Agent a commission of ...... % on the purchases of the
Products approved by the Principal.”
The value of commission shall be calculated according to:
Alternative A. “The net value of the invoice issued by the manufacturer or supplier, i.e.
not including additional expenses (packaging, transport and insurance) or taxes, provided
that such expenses and taxes are set out separately on the invoice.”
Alternative B. “The purchase price on the invoice issued by the manufacturer or supplier,
including international transportation and insurance expenses, but not including taxes.”

9. Alternative A. “The Principal shall not pay any amount corresponding
to travel costs and other operational expenses that will borne by the
Buying Agent.”
Alternative B. “The Principal shall not pay any amount corresponding
to travel costs and other operational expenses that will borne by the
Buying Agent; however, at Principal´s sole discretion and where
agreed to in writing, Principal will bear travelling costs.”
3.5 TRAVEL AND OTHER OPERATIONAL EXPENSES

10. International Law standards are not applied to this type
of Contract.
The parties are free to submit any conflicts regarding the
agreement to International Arbitration or to the Laws of
the country of one of the parties. They will normally be
subject to the Laws of the Principal´s country.
